Overview

These Terms of Service govern your use of the a2scale website (a2scale.com) and the services offered by a2scale, a brand operated by Ask Carlos Consulting ("a2scale," "we," "us," or "our"). By booking a call, engaging our services, or using this site, you agree to these terms in full.

Services

a2scale provides VA services and transaction coordination services to clients on a monthly retainer basis. Specific scope, pricing, and deliverables are confirmed during onboarding and outlined in a separate service agreement. a2scale reserves the right to use vetted subcontractors and specialists to fulfill delivery obligations. We do not guarantee any specific business outcome as a result of our services.

No Warranty

Services are provided on an "as-is" and "best-efforts" basis. a2scale makes no representations or warranties, express or implied, regarding the results, accuracy, reliability, or fitness for a particular purpose of any services delivered. Your use of our services is entirely at your own risk.

Payment

Services are billed on a monthly pool model. Your pool amount is set at onboarding. Unused pool balances do not carry over to the following month. Overages are billed at the end of the month in which they occur. Payment terms and accepted methods are confirmed during onboarding. Failure to remit payment by the due date may result in immediate suspension of services without notice and without service credit for the suspended period.

Client Responsibilities

You agree to:

  • Provide accurate and complete information at onboarding and throughout the engagement
  • Grant necessary access to tools and platforms required to deliver your services
  • Respond to requests for input within a reasonable timeframe; delays caused by client unresponsiveness are not the responsibility of a2scale
  • Not use our services for any unlawful purpose
  • Maintain timely payment in accordance with your agreed billing terms

Failure to meet these responsibilities may result in suspension or termination of services at a2scale's discretion.

Intellectual Property

Work product delivered by a2scale as part of your engagement belongs to you upon full payment for the period in which it was produced. a2scale retains no ownership over deliverables once payment is received. a2scale retains the right to reference the engagement (without confidential details) for business development purposes unless otherwise agreed in writing.

Limitation of Liability

To the maximum extent permitted by applicable law, a2scale shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from or related to the use or inability to use our services, even if advised of the possibility of such damages. Our total liability in any matter is limited to the fees paid in the month in which the issue arose.

Indemnification

You agree to indemnify, defend, and hold harmless a2scale, Ask Carlos Consulting, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of our services; (b) your breach of these Terms; or (c) any third-party claims related to content, instructions, or materials you provide to a2scale in connection with the services.

Termination

Either party may terminate the engagement with reasonable notice as outlined in your service agreement. Month-to-month engagements may be cancelled before the next billing cycle. No refunds are issued for the current billing period. a2scale reserves the right to terminate immediately and without notice in the event of breach of these Terms, non-payment, or conduct deemed harmful to a2scale's business, staff, or operations.

Dispute Resolution

Before initiating any legal proceeding, both parties agree to attempt resolution through good-faith mediation. If mediation fails, disputes shall be resolved in the courts of the Province of Ontario, Canada. You waive any objection to the exclusive jurisdiction of Ontario courts.

Changes to These Terms

We may update these terms from time to time. We will notify active clients of material changes where reasonably practicable. Continued use of our services after changes are posted constitutes acceptance of the updated terms.

Governing Law

These terms are governed by the laws of the Province of Ontario, Canada.
